Effective Date: October 15, 2026
1. Introduction and Acceptance of Terms
These Terms of Service (the “Terms”) govern access to and use of the website located at gimvox.pro and any related services, products, deliverables, communications, or platforms provided by Gimvox (collectively, the “Services”).
By accessing or using the Services, requesting a quote, entering into a statement of work, or otherwise engaging with Gimvox, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations of Canada and the province of Ontario. If you do not agree to these Terms, you must not use the Services.
These Terms form a legally binding agreement between you, the client, user, or visitor (“you” or “Client”), and Gimvox, located at 245 Don Valley Parkway, Suite 310, Toronto, ON M4J 3S8, Canada.
2. Scope of Services
Gimvox is a visual-effects studio providing creative and technical services, which may include, without limitation:
- visual effects design and production;
- compositing, motion graphics, 2D/3D animation, and digital post-production;
- concept development, look development, and creative consultation;
- asset preparation, cleanup, rotoscoping, tracking, simulation, and rendering;
- delivery of rendered files, project files, previews, revisions, and associated documentation;
- project management, scheduling, and production coordination related to visual-effects work.
The exact scope, deliverables, milestones, timelines, and fees for any project will be set out in a quote, proposal, estimate, purchase order, statement of work, or other written agreement issued or accepted by Gimvox (each, a “Project Agreement”). If there is any conflict between these Terms and a Project Agreement, the Project Agreement will prevail to the extent of the conflict.
Gimvox may modify, suspend, or discontinue any aspect of the Services at any time, subject to any written commitments in a Project Agreement and applicable law.
3. User Obligations and Responsibilities
You agree to use the Services only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that all information, materials, and instructions you provide to Gimvox are accurate, complete, current, and authorized for use.
You represent and warrant that:
- you have the legal right to provide all content, footage, audio, images, logos, trademarks, reference materials, and other assets submitted to Gimvox;
- your materials do not infringe or misappropriate any intellectual property rights, moral rights, privacy rights, publicity rights, or other rights of any third party;
- all required consents, releases, and permissions have been obtained for the use, reproduction, editing, and processing of your materials;
- you will comply with all applicable laws, regulations, and industry standards;
- you will not use the Services to transmit harmful code, unlawful content, or content that is defamatory, abusive, obscene, discriminatory, or otherwise objectionable;
- you will promptly review and approve or reject deliverables within any review period specified in a Project Agreement.
You are solely responsible for backing up your materials and project data. Unless otherwise agreed in writing, Gimvox has no obligation to store or archive client files indefinitely after delivery or project completion.
You agree not to interfere with the security, integrity, or performance of the Services, and not to attempt unauthorized access to systems, accounts, or data associated with Gimvox.
4. Payment Terms and Conditions
Fees, billing structure, and payment schedules will be specified in the applicable Project Agreement or invoice. Unless otherwise agreed in writing:
- all fees are stated in Canadian dollars (CAD) unless expressly stated otherwise;
- taxes, including applicable GST/HST and any other taxes, are अतिरिक्त and payable by the Client where applicable;
- Gimvox may require an advance deposit, milestone payments, or full prepayment before commencing work;
- invoices are due upon receipt or within the payment period stated on the invoice;
- late amounts may accrue interest at the maximum rate permitted by law, or if no maximum applies, at a commercially reasonable rate stated in the Project Agreement or invoice;
- the Client is responsible for all reasonable costs of collection, including legal fees and disbursements, to the extent permitted by law.
Any estimates provided by Gimvox are based on information available at the time and may change if project scope, deadlines, assets, or instructions change. Additional work outside the agreed scope, revisions beyond the included number, rush requests, or third-party costs may be billed separately.
If payment is not received when due, Gimvox may suspend work, withhold deliverables, revoke access to work-in-progress files, or terminate the applicable Project Agreement, subject to applicable law and any written agreement.
5. Cancellation and Refund Policy
Either party may cancel a project in accordance with any cancellation provisions in the applicable Project Agreement. If no specific cancellation terms are included, the following shall apply:
- the Client must provide written notice of cancellation to Gimvox;
- the Client remains responsible for payment for all work performed, time spent, committed resources, and non-cancellable third-party costs incurred up to the cancellation date;
- any deposit or retainer is non-refundable to the extent it covers booking, scheduling, administrative, creative development, or other work already performed, unless otherwise required by law;
- if a project is cancelled after work has commenced, Gimvox may invoice for completed milestones and unrecovered costs;
- no refund will be provided for services fully rendered, approved, or delivered, except where required by applicable law or expressly stated in a Project Agreement.
Because visual-effects work is custom, creative, and often based on client-provided materials and approvals, refunds are generally not available once work has begun, except where required by applicable law or expressly agreed in writing by Gimvox.
If Gimvox cancels a project for reasons other than Client breach, Gimvox will refund any prepaid amounts for undelivered work, less amounts attributable to completed work and committed third-party costs, unless otherwise agreed in writing or required by law.
6. Liability Limitations
To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis. Gimvox makes no warranties, representations, or conditions of any kind, whether express, implied, statutory, or collateral, including warranties or conditions of merchantability, fitness for a particular purpose, title, non-infringement, or uninterrupted availability, except to the extent such exclusions are not permitted under applicable law.
To the maximum extent permitted by law, Gimvox and its directors, officers, employees, contractors, and agents shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or aggravated damages, or for any loss of profits, revenue, data, goodwill, business opportunity, or anticipated savings, arising out of or related to the Services, even if advised of the possibility of such damages.
To the maximum extent permitted by law, Gimvox’s total aggregate liability for any claim arising out of or relating to the Services, whether in contract, tort (including negligence), equity, or otherwise, shall not exceed the amount paid by the Client to Gimvox for the specific Services giving rise to the claim during the three (3) months preceding the event giving rise to the claim, or CAD $1,000, whichever is greater, unless a Project Agreement states otherwise or applicable law requires a different limit.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud, wilful misconduct, or any other liability that cannot legally be excluded or limited in Ontario or Canada.
The Client acknowledges that creative services involve subjective judgment, technological dependencies, third-party tools, and source materials supplied by the Client or third parties, and that final results may vary based on these factors.
7. Intellectual Property Rights
Unless otherwise agreed in writing, all pre-existing intellectual property, methodologies, workflows, tools, templates, software, know-how, and production techniques owned or developed by Gimvox before or independently of a project remain the exclusive property of Gimvox.
Subject to full payment of all amounts due and any specific transfer terms in a Project Agreement, Gimvox grants the Client a non-exclusive, non-transferable, worldwide license to use the final deliverables for the purpose stated in the applicable Project Agreement. No rights are granted in source files, project files, working files, or preparatory materials unless expressly stated in writing.
Unless otherwise agreed in writing, source files, editable project files, raw footage, unused concepts, test renders, and work-in-progress materials remain the property of Gimvox.
The Client grants Gimvox a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, process, display, and create derivative works from Client-provided materials solely to the extent necessary to perform the Services.
Gimvox may, unless prohibited by a confidentiality agreement or Project Agreement, display completed work in portfolios, showreels, case studies, award submissions, social media, and promotional materials for self-promotional purposes.
If the Client supplies materials that are subject to third-party rights, the Client is responsible for securing all necessary permissions. The Client shall indemnify and hold harmless Gimvox from claims arising from Client-supplied materials or instructions, except to the extent caused by Gimvox’s gross negligence or wilful misconduct.
Any transfer of ownership or assignment of copyright must be expressly stated in a signed writing by Gimvox. Moral rights shall be dealt with in accordance with applicable Canadian law and any written agreement between the parties.
8. Data Protection and Privacy
Gimvox collects, uses, stores, and discloses personal information in connection with the Services as necessary to provide and manage projects, communicate with Clients, process payments, meet legal obligations, and improve operations.
Gimvox will handle personal information in a manner consistent with applicable Canadian privacy laws, including, where applicable, the Personal Information Protection and Electronic Documents Act (PIPEDA) and any substantially similar provincial law.
Depending on the nature of the Services, personal information may include contact information, billing information, project correspondence, and content provided by the Client that contains personal information. The Client acknowledges that it is responsible for ensuring that any personal information it provides to Gimvox is collected and shared lawfully, with appropriate notices and consents where required.
Gimvox may use third-party service providers, cloud storage, communication platforms, payment processors, and production tools that may store or process data outside the Client’s province, territory, or Canada. By using the Services, the Client consents to such processing where necessary for service delivery, subject to applicable law and Gimvox’s privacy practices.
Gimvox will take reasonable administrative, technical, and physical safeguards designed to protect personal information; however, no system can be guaranteed to be completely secure. To the extent permitted by law, Gimvox shall not be responsible for unauthorized access, disclosure, or loss caused by factors outside its reasonable control.
For questions regarding privacy or data handling, please contact Gimvox using the details in Section 12.
9. Force Majeure
Gimvox shall not be liable for any delay, failure, or interruption in performing its obligations where such delay or failure results from events beyond its reasonable control, including but not limited to:
- acts of God, fire, flood, earthquake, or other natural disasters;
- war, terrorism, civil unrest, riots, or labour disruptions;
- government actions, laws, regulations, embargoes, or orders;
- failures of utilities, internet service providers, cloud services, software platforms, or telecommunications networks;
- cyberattacks, malware, ransomware, or other malicious acts;
- supplier, subcontractor, or third-party failures;
- epidemics, pandemics, public health emergencies, or related restrictions.
In the event of a force majeure occurrence, Gimvox may suspend performance for the duration of the event and a reasonable recovery period. If the event continues for an extended period, either party may terminate the affected Project Agreement on written notice, subject to payment for work performed and expenses incurred to the date of termination.
10. Changes to Terms
Gimvox may revise these Terms from time to time by posting an updated version on gimvox.pro or otherwise providing notice to the Client where appropriate. The updated Terms will become effective on the date indicated in the revised version or as otherwise stated by Gimvox.
Your continued use of the Services after the effective date of revised Terms constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must discontinue use of the Services and, if applicable, notify Gimvox regarding any active Project Agreement.
Changes to these Terms will not retroactively affect a signed Project Agreement unless the parties expressly agree in writing or the change is required by law.
11. Applicable Law and Jurisdiction
These Terms and any dispute, claim, or controversy arising out of or relating to them, the Services, or any Project Agreement shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
The parties irrevocably submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada, for the resolution of any dispute, subject to any mandatory consumer rights or other non-waivable legal protections under applicable law.
If the Client is located outside Canada, the Client agrees that the Services are nonetheless deemed offered from Ontario, Canada, and that Ontario law and jurisdiction apply to the fullest extent permitted by law.

13. Severability Clause
If any provision of these Terms is held to be invalid, illegal, unenforceable, or contrary to applicable law by a court or competent authority, that provision shall be severed or modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
To the extent permitted by law, the parties agree that any invalid or unenforceable provision shall be interpreted so as to reflect the original intent as closely as possible while preserving the validity of the remaining Terms.
Entire Agreement: These Terms, together with any applicable Project Agreement, constitute the entire agreement between the Client and Gimvox concerning the Services and supersede prior or contemporaneous understandings on the same subject matter, except where a signed written agreement states otherwise.
